Terms of Service

These Terms of Service ("Terms") govern your access to and use of hfkane.com and the consulting, referral, integration, and related business services offered by H.F. Kane Solutions Inc. ("H.F. Kane," "we," "us," or "our"). By accessing our website, submitting information, requesting services, or using a service made available through us, you agree to these Terms. If you do not agree, do not use the website or services.

1. Our Services

H.F. Kane provides business consulting and may help businesses identify, apply for, integrate with, or obtain services from independent third-party providers. Our activities may include merchant-services consulting, payment-gateway and payment-processing referrals, technical or operational integration support, digital-asset service referrals or integrations, insurance-related services, energy brokering, and other business services.

The availability and scope of a particular service will depend on your agreement with H.F. Kane and any applicable third-party provider agreements. Information on our website is general and does not constitute a guarantee that any provider, product, pricing, processing capacity, currency, digital asset, payment method, or geographic market will be available to you.

2. Independent Third-Party Providers

Banks, acquiring institutions, payment processors, payment gateways, digital-asset providers, insurers, energy suppliers, and other providers introduced or integrated by H.F. Kane are independent parties. Their services are governed by their own applications, underwriting criteria, agreements, privacy notices, fee disclosures, compliance procedures, and acceptable-use policies.

For digital-asset transactions made available through a provider such as MoonPay, the provider—not H.F. Kane—is responsible for activities such as customer identification, know-your-customer and anti-money-laundering checks, sanctions screening, payment authorization, transaction execution, conversion, custody, delivery, and settlement. You must review and accept the provider's terms before using its service.

H.F. Kane does not:

  • Hold or custody customer fiat currency or digital assets.
  • Control customer wallets or request private keys or seed phrases.
  • Execute trades on behalf of customers or move funds without customer instructions.
  • Operate a digital-asset exchange, provide securities or derivatives trading, offer tokenized stocks, provide copy-trading services, or make loans through the website.
  • Guarantee approval, transaction completion, settlement timing, exchange rates, asset availability, or provider performance.

Nothing in these Terms replaces any agreement between you and a third-party provider. If these Terms conflict with a provider's terms concerning that provider's service, the provider's terms control your use of its service.

3. Eligibility and Authority

You must be at least 18 years old and legally capable of entering into a binding agreement. If you act for a company or other organization, you represent that you are authorized to bind it. You may use the website and services only where legally permitted and in compliance with all applicable laws and provider requirements.

4. Applications, Underwriting, and Verification

Services may require an application, identity or business verification, underwriting, due diligence, compliance review, and approval by one or more third parties. You agree to provide accurate, current, and complete information and to promptly update information that changes.

Approval is not guaranteed. H.F. Kane and any third-party provider may request additional documents, decline an application, impose limits or reserves, suspend access, delay or reject transactions, or terminate services as permitted by their agreements and applicable law. You may not omit, disguise, or misrepresent your business activities, ownership, products, websites, transaction flows, customers, expected volumes, or intended use.

5. Merchant and User Responsibilities

You are responsible for:

  • Using services only for the business, websites, products, and transaction activity disclosed and approved during onboarding.
  • Maintaining accurate customer-facing descriptions, policies, prices, refund terms, and contact information.
  • Obtaining all licenses, registrations, consents, and authorizations required for your business.
  • Protecting account credentials and promptly reporting suspected unauthorized use.
  • Complying with card-network rules, payment-provider rules, sanctions requirements, consumer-protection laws, privacy laws, and other applicable requirements.
  • Responding to information requests, disputes, refunds, chargebacks, complaints, investigations, and compliance reviews.

You remain responsible for your products, services, representations, fulfillment, customer relationships, taxes, and legal compliance. H.F. Kane does not become the seller of your products or services merely by providing consulting, referral, gateway, or integration support.

6. Fees and Referral Compensation

Fees charged for a product or transaction will be disclosed in the applicable proposal, agreement, checkout, transaction interface, or third-party provider terms. Fees may include provider charges and, where permitted and disclosed, platform, integration, service, or partner fees.

H.F. Kane may receive commissions, referral fees, residual compensation, revenue share, or other compensation from providers or commercial partners in connection with an introduction, application, integration, account, or transaction. This compensation may create a financial incentive for H.F. Kane to recommend or support a particular provider. Unless expressly stated in writing, compensation paid to H.F. Kane does not increase a fee already disclosed to you at checkout or by the applicable provider.

All digital-asset pricing, exchange rates, network fees, and transaction charges are determined or displayed by the applicable provider at the time of the transaction. You are responsible for reviewing and approving the final transaction details before submitting an instruction.

7. Digital-Asset Risk Disclosure

Digital assets can be volatile and may lose some or all of their value. Transactions may be irreversible. Prices, spreads, network fees, processing times, liquidity, technology, and legal treatment can change rapidly. A provider may restrict assets, wallets, locations, payment methods, transaction sizes, or users.

H.F. Kane does not provide investment, legal, tax, fiduciary, or trading advice through its digital-asset integrations or referrals. Nothing on the website or in a transaction interface is a recommendation to buy, sell, or hold any digital asset. You are responsible for evaluating the risks and obtaining independent professional advice where appropriate.

8. Prohibited Conduct

You may not use the website or services to:

  • Violate any law, regulation, sanctions program, court order, card-network rule, or provider policy.
  • Commit or facilitate fraud, money laundering, terrorist financing, evasion, deception, or other unlawful conduct.
  • Submit false information, impersonate another person, conceal beneficial ownership, or evade verification or transaction limits.
  • Process transactions for an undisclosed business, website, product, person, or third party.
  • Interfere with security, access another person's account, introduce malicious code, scrape the website unlawfully, or disrupt the services.
  • Infringe intellectual-property, privacy, publicity, or other rights.

We may restrict or terminate access and cooperate with providers or lawful authorities when we reasonably suspect prohibited activity.

9. Intellectual Property

The website and its content, branding, graphics, text, designs, software, and other materials owned by H.F. Kane are protected by intellectual-property laws. Subject to these Terms, H.F. Kane grants you a limited, revocable, nonexclusive, nontransferable license to access the website for lawful business or personal use. No other rights are granted.

Third-party names, marks, interfaces, and content belong to their respective owners. Reference to a third party does not imply that it sponsors or endorses every H.F. Kane service.

10. Privacy

Our collection and use of personal information are described in our Privacy Policy. Third-party providers process information under their own privacy notices. By submitting information to a third-party service, you authorize that provider to process it in accordance with its terms and privacy notice.

11. Electronic Communications

You consent to receive agreements, notices, disclosures, and other communications electronically, including by email or through a website or provider interface. You are responsible for maintaining a current email address and copies of records relevant to your relationship with us.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." H.F. KANE DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, ACCURACY, AND RESULTS.

H.F. KANE DOES NOT WARRANT THAT A THIRD-PARTY PROVIDER WILL APPROVE AN APPLICATION, PROCESS OR COMPLETE A TRANSACTION, REMAIN AVAILABLE, OR PROVIDE ANY PARTICULAR PRICING OR RESULT. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SYSTEMS, ACTS, OMISSIONS, OUTAGES, SECURITY INCIDENTS, POLICIES, OR DECISIONS.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, H.F. KANE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OPPORTUNITY, GOODWILL, OR DIGITAL ASSETS; OR DAMAGES ARISING FROM A THIRD-PARTY SERVICE, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, H.F. KANE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO H.F. KANE FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE SIX MONTHS BEFORE THE EVENT OR (B) ONE HUNDRED U.S. DOLLARS. Separate signed agreements may establish different limitations for the services governed by those agreements.

Some jurisdictions do not allow certain liability limitations, so portions of this section may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless H.F. Kane and its officers, directors, employees, agents, and affiliates from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys' fees arising from your business, products, services, conduct, violation of these Terms, violation of law or provider requirements, infringement of another party's rights, or inaccurate information you submit.

15. Suspension and Termination

We may suspend or terminate your access to the website or an H.F. Kane service when reasonably necessary to protect users, providers, H.F. Kane, or the public; respond to legal or compliance concerns; address nonpayment or breach; or discontinue a service. Termination does not eliminate obligations or liabilities that arose before termination. A third-party provider controls suspension or termination of its own service.

16. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Unless a separate written agreement provides otherwise, any dispute arising from these Terms or the website must be brought in a state or federal court of competent jurisdiction located in Nassau County, New York, and each party consents to that court's jurisdiction and venue.

17. Changes to These Terms

We may update these Terms periodically. The revised Terms will be posted on this page with an updated effective date. Changes apply prospectively when posted unless a different effective date is stated. Continued use after an update constitutes acceptance of the revised Terms.

18. General Provisions

These Terms, together with our Privacy Policy and any applicable written agreement, constitute the agreement concerning the matters they cover. If a provision is unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, sale, or transfer of our business or assets.
